Terms and Conditions of Sale

Scope

These terms and conditions apply to all sales made by JORMAX unless otherwise agreed in writing.

Quotations are valid for 30 days. After this period, Jormax cannot guarantee the conditions originally offered.

Prices quoted are calculated for the full order. If only part of the quotation is accepted, Jormax reserves the right to revise the quoted prices.

Prices shown in quotations and invoices are net amounts per line item and exclude delivery charges and VAT.

Price lists may be changed without prior notice. Changes will be communicated as soon as practicable.

Jormax reserves the right to change its products or technical specifications without prior notice. Product dimensions may vary by +/- 2 cm, and visual changes may occur. If catalogue and website images differ, the website image takes precedence.

The applicable VAT will be added to the prices shown.

Orders and acceptance of quotations are only valid if made in writing.

Jormax will send an order confirmation when an order is opened and whenever previously agreed conditions change. Once received, an order is considered firm. Changes requested by the customer are subject to renegotiation and only become valid after confirmation by Jormax.

Payments must be made to Jormax at the customer’s risk for the full outstanding amount, regardless of the payment method selected. For payment by bank transfer, the details are: NOVO BANCO IBAN: PT50 0007 0618 0008 5350 0028 9 SWIFT/BIC: BESCPTPL. If payment is not made by the agreed due date, default interest will accrue in accordance with Portuguese Decree-Law No. 32/2003 of 17 February, at the rate established by Ministerial Order No. 277/2013 of 26 August. Late payment or non-payment of overdue invoices may result in the immediate suspension of deliveries for outstanding orders. Payments are only considered received once cleared.

Delivery times are estimates expressed in working days from the date on which the customer’s order is confirmed.

Jormax is not responsible for delays caused by circumstances beyond its control, including machinery or vehicle breakdowns, national or international carrier delays, adverse weather, holidays and public holidays.

Jormax does not accept penalties for late delivery unless expressly agreed in writing by both parties.

For products in stock, Jormax will deliver within three working days of receiving the order, subject to the requested delivery date.

For products not in stock, the delivery date requested by the customer may depend on our production schedule. In such cases, the customer will receive a revised order confirmation stating the new delivery date.

If only part of the order is available by the agreed delivery date, Jormax will supply the available quantity and arrange a later date for the balance.

Requests to bring forward an agreed delivery date will only be accepted subject to stock availability and confirmation by Jormax.

All deliveries with a value of €750.00 or less (excluding VAT) must be paid for immediately.

All deliveries exceeding €750.00 (excluding VAT) are payable immediately unless the customer has been granted credit.

Customers may request a credit assessment, which will be processed as promptly as possible.

NOTE: Starting a credit assessment does not guarantee credit approval, and the payment terms of any orders in progress remain unchanged while the assessment is pending.

Credit payment terms cease to apply if overdue invoices are not settled on time, unless an alternative payment period has been authorised in advance.

Credit payment terms also expire automatically if there have been no transactions for more than three months. Any new credit facility will be subject to the procedures described above.

Packaging is determined by Jormax unless a specific packaging arrangement has been agreed in advance. Delivery charges are payable by the customer unless otherwise agreed. Goods are always dispatched at the customer’s expense and risk.

All claims must be submitted in writing within eight days of receipt of the goods. Returns will not be accepted without prior authorisation from JORMAX.

Jormax only accepts claims concerning proven manufacturing defects.

Following investigation of a claim, Jormax and the customer will agree on either a replacement product or a credit for its value.

The warranty does not cover transport costs to or from our premises.

The general warranty conditions are those established by applicable legislation.

Goods remain the property of Jormax until they have been paid for in full.

Liability is limited to the value of the goods and excludes indirect losses and loss of profit.

These terms and conditions are governed by Portuguese law.

The District Court of Vila Nova de Gaia has exclusive jurisdiction over all disputes.

Where Jormax is the claimant in legal proceedings, it reserves the right to bring an action before the courts of the buyer’s place of business or residence, in Portugal or abroad.

Sales and warranty terms may be amended without prior notice.
